These Terms of Use govern your access to and use of licenseretail.com (the “Site”) and any purchase you make through it. The Site is owned and operated by Keyzai LLC, a limited liability company registered in the State of Colorado, United States (Secretary of State ID 20241650116), trading as LicenseRetail. References to “we”, “us” and “our” mean Keyzai LLC.
By using the Site or placing an order, you confirm that you accept these Terms and that you agree to comply with them. If you do not agree, please do not use the Site.
Use of This Site
You may use the Site only for lawful purposes. You agree not to use the Site in any way that breaches applicable law, is fraudulent, or seeks to harm or attempt to harm any person. You must not attempt to gain unauthorised access to the Site, the server on which it is stored, or any database connected to it, and you must not introduce any malicious code or attempt to disrupt the Site’s operation.
You are responsible for maintaining the confidentiality of any account credentials you create and for all activity that occurs under your account.
Order Acceptance
Your order is an offer to purchase. All orders are subject to acceptance by us and to verification checks. We may decline or cancel an order at our discretion, including where we suspect fraudulent activity, where a product has been listed at an incorrect price, where stock is unavailable, or where we are unable to verify the payment or billing details supplied.
A contract is formed only when we deliver the licence key or confirm dispatch of the order. Where we cancel an order after payment has been taken, we will issue a full refund of the amount charged.
Pricing and Product Information
Prices are displayed in the currency selected on the Site and exclude any taxes or duties that may apply in your jurisdiction, unless stated otherwise at checkout. We take care to describe our products accurately, but product descriptions, specifications, system requirements and images are provided for guidance and may be updated by the software publisher without notice.
We reserve the right to correct pricing or descriptive errors at any time, including after an order has been submitted but before it has been accepted.
Nature of the Products and Licensing
All products sold on the Site are genuine software licences supplied through authorised distribution channels. Products are delivered as licence keys or as account-based subscriptions, depending on the item purchased.
Your use of any software purchased through the Site is governed by the End User Licence Agreement (“EULA”) of the software publisher, not by Keyzai LLC. You are responsible for reviewing and complying with the applicable EULA. We supply the licence; the publisher defines the terms of its use.
Where a product is described as a “lifetime” licence, this refers to the licence having no recurring subscription fee. It does not guarantee that the publisher will support, update or operate the software indefinitely.
Delivery

Quantity Limits and Resale
We may limit the quantity of any product available in a single order or to a single customer. Products purchased from the Site are intended for end use by the purchaser. If you wish to purchase for resale or in volume, please contact us to discuss appropriate terms before ordering.
Export Restrictions
Software products may be subject to export control laws of the United States and other jurisdictions. By ordering, you confirm that you are not located in, and will not use the product in, any country or territory subject to applicable trade sanctions or embargoes, and that you are not a person barred from receiving such products under applicable law.
Copyright and Trademarks
All content on the Site, including text, layout, graphics and compilation, is owned by or licensed to Keyzai LLC and is protected by copyright. You may not reproduce, distribute or commercially exploit Site content without our prior written permission.
Product names, logos and brands referenced on the Site are the property of their respective owners. Their use on the Site is for identification and descriptive purposes only and does not imply endorsement of, or affiliation with, LicenseRetail by those owners unless expressly stated.
Customer Reviews and Submissions
Where the Site permits you to submit reviews, comments or other content, you grant us a non-exclusive, royalty-free licence to use, reproduce and display that content in connection with the Site. You are responsible for the content you submit and confirm that it is your own, is accurate, and does not infringe the rights of any third party. We may remove content that is unlawful, misleading, offensive or otherwise inappropriate.
Geographic Availability
Certain products are licensed for use only in specific regions or countries. Where a regional restriction applies, it is stated on the product page. It is your responsibility to confirm that a product is suitable for your region before purchasing.
Limitation of Liability
To the fullest extent permitted by law, Keyzai LLC shall not be liable for any indirect, incidental, special or consequential loss, including loss of profit, loss of business, or loss or corruption of data, arising from your use of the Site or of any product purchased through it. Our total liability in connection with any order shall not exceed the amount you paid for that order.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including liability for fraud or for death or personal injury caused by negligence. These Terms do not affect any statutory rights you have as a consumer.
Governing Law
These Terms and any dispute arising from them are governed by the laws of the State of Colorado, United States, without regard to its conflict of law provisions. Where you contract with us as a consumer resident elsewhere, you retain the benefit of any mandatory consumer protections available to you under the law of your country of residence.
Changes to These Terms
We may revise these Terms from time to time. The version in force at the time you place an order is the version that applies to that order. The date of the most recent revision is shown at the top of this page.
